IN THE EVENT OF ANY CONFLICT BETWEEN THE ADDITIONAL TERMS FOR THE MYKO MICROSITE OR MYKO APP, AND THE GENERAL TERMS SET OUT AT SECTION A, THE APPLICABLE ADDITIONAL TERMS SET OUT AT SECTION B AND C SHALL PREVAIL.

Introduction

In these Terms of Use, references to we, us or our (or words of similar import) means:

(a) In respect of the Myko Microsite, Kingfisher PLC, a limited company registered in England (company number: 01664812), whose registered office is 1 Paddington Square, London, England, W2 1GG; and

(b) In respect of the Myko App, Kingfisher International Products Limited a limited company registered in England (company number: 09861549), whose registered office is 1 Paddington Square, London, England, W2 1GG.

In these Terms of Use, references to you means the person accessing and using our Myko App and / or Myko Microsite. If you use our Myko App and / or Myko Microsite on behalf of a company, organisation or other entity, then (i) you includes you and that company, organisation or other entity, and (ii) you represent and warrant that you are authorised to bind the company, organisation or other entity to these Terms of Use, and that you agree to these Terms of Use on behalf of yourself and the company, organisation or other entity.

www.mykoapp.com (the Myko Microsite) is managed by BlackSun Limited, a company incorporated in England under registration number 01557279 whose head office is at Fulham Palace, Bishop’s Avenue, London, SW6 6EA. The Myko App are operated on our behalf by Afero, Inc, a company incorporated in Delaware, USA under registration number 5538030 whose head office is at 4410 El Camino Real STE 200, Los Altos, CA, 94022. These Terms of Use set out the basis on which you may make use of (i) our Myko Microsite; and (ii) our associated software and web-based applications (the Myko App).

Any reference to “Services” in these Terms of Use means the services provided by us, and defined by these Terms of Use, consisting of:

(i) access to the Myko Microsite, which is a landing page enabling a user to learn what Myko is, how to download the app, FAQs as well as information on how to manage user account (i.e. change password etc). The Myko Microsite will also help point users to where they can purchase Myko products;

(ii) access to and the possibility of using the Myko App which enables users to register, activate and use certain connected products all via the app. Connected products are network connectable devices which are capable of being controlled remotely by users. The Myko App will support certain connected products sold by Kingfisher group companies, as well as certain connected products sold by third parties. Please check the Myko App and the relevant connected product for details of whether the relevant connected product (and which of its features) is supported by the Myko App.

By ticking the “accept” box in the account creation process, you hereby agree to these Terms of Use. If you do not agree to these Terms of Use, you may not use our Myko Microsite or the Myko App.

We will use your personal data that we collect through our Myko Microsite and Myko App in accordance with our Privacy Policy available at our privacy page.

We reserve the right to change these Terms of Use from time to time, and any updated version will become effective seven days following publication on the Myko Microsite and / or in the Myko App. The Terms of Use applicable to your use of our Myko Microsite and Myko App will be those in force at the time you access the Myko Microsite or the Myko App.

SECTION A: GENERAL TERMS OF USE

Accessing our Myko Microsite and Myko App

To use the Myko App, you will need to download the app and create an account as prompted within the app journey. In order to set up a user account, the registration form must be completed. You will also need to confirm acceptance of the Terms of Use by ticking the “accept box” in the account creation process, and provide an e-mail address to receive an account creation confirmation email. As part of the account creation process, you will be asked to provide an email address and create a password. You must keep your login credentials safe at all times and not share these with anyone.

The contract for the provision of Services by electronic means is concluded with the User upon correct completion of the form.

We do not guarantee that the Myko Microsite and Myko App will operate continuously or without interruptions or be error-free. Access to the Myko App may occasionally be restricted or limited to allow for repairs, upgrades or general maintenance. We will endeavour to restore access as soon as we can.

Use of the Services related to access to the Myko Microsite requires a device connected to the Internet and a web browser, such as Chrome, Edge, Safari and Firefox.

Use of the Services related to the Myko App requires a mobile device (smartphone or tablet) with the following operating system:

Apple iOS
Android

The version of such operating system on the relevant mobile device must be either the current version made available by the relevant operating system provider, or one of the two preceding versions. The Myko App and /or the Services may not function or be accessible on older versions of the operating systems mentioned above.

Your use of the Myko App and associated Services is also governed by any applicable agreements you have with any third-party platform or store, including but not limited to the Apple App Store or Google Play Store (each, an App Store and such agreements the App Store Agreements). In the event of a conflict between any other App Store Agreement(s) from which you acquire the Myko App and these Terms of Use with respect to your use of the Myko App and associated Services, these Terms of Use will take priority.

The Myko App may not be available on all mobile devices.

You must not attempt to interfere with the proper working of our Myko Microsite and Myko App and, in particular, you must not attempt to circumvent security, tamper with, hack into, or otherwise disrupt our Myko Microsite and Myko App or any computer system, server, router or any other internet-connected device associated with our Myko Microsite and Myko App. You must not misuse our Myko Microsite and Myko App by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attack our Myko Microsite and Myko App via a denial-of-service attack, a distributed denial-of service attack or otherwise.

You are responsible for ensuring that your computer system or device meets all relevant technical specifications necessary to use our Myko Microsite and Myko App and is compatible with our Myko Microsite and Myko App. With the exception of Users who are consumers with habitual residence in Poland, you understand that, to the extent legally permissible, we cannot and do not guarantee or promise that any content on our Myko Microsite and Myko App (including Material (as defined below)) will be free from infection, viruses and/or other code that has contaminating or destructive properties. You are responsible for implementing sufficient procedures and virus checks (including anti-virus and other security checks) to satisfy your particular requirements for the safety and reliability of data input and output.

From time to time, we may restrict access to certain features or parts of our Myko Microsite and Myko App, or the entirety of our Myko Microsite and Myko App. If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any third party. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our opinion you have failed to comply with any of the provisions of these Terms of Use, or we identify a risk of unauthorised use of data.

We reserve the right, in our discretion, to withdraw, suspend or modify our Myko Microsite and Myko App or certain features or parts of our Myko Microsite and Myko App with or without notice to you. There may also be times when our Myko Microsite and Myko App or certain features or parts of our Myko Microsite and Myko App become unavailable, whether on a scheduled or unscheduled basis. With the exception of Users who are consumers with habitual residence in Poland, you agree that, to the extent legally permissible, we will not be liable to you or to any third party for any withdrawal, suspension, modification, unavailability, inaccessibility or discontinuance of our Myko Microsite and Myko App or any service available on or through our Myko Microsite and Myko App.

Using our Myko Microsite and Myko App

You must not use our Myko Microsite and Myko App for any activities that breach any laws, infringe any person's rights, or breach any standards, content requirements or codes published by any relevant authority. You must use our Myko Microsite and Myko App and the information available from our Myko Microsite and Myko App responsibly. You must not use our Myko Microsite and Myko App or the information available from our Myko Microsite and Myko App for or in connection with any unlawful, immoral or anti-social purpose, or in a manner which is or may be damaging to our name or reputation. You must refrain from publishing or providing any unlawful content within the Myko Microsite and Myko App.

You must not use our Myko Microsite and Myko App in any way that interferes with our systems, other users or harasses, menaces or harms anyone.

You must not use our Myko Microsite and Myko App to make any speculative, false or fraudulent orders.

The Myko App has not been developed to meet your individual requirements. Please check in the Myko Microsite and / or Myko App that the facilities and functions of the Myko App meet your requirements.

Intellectual property rights

Our Myko Microsite and Myko App may consist of images, illustrations, graphics, video sequences, sounds, text, photographs, tools (including calculators and planners), formats and styles of presentation, software (including HTML code) and material analogous to it, and other content (collectively, Material). All copyright, moral ownership and other intellectual property rights in our Myko Microsite and Myko App and the Material (and derivatives of it) are either owned exclusively by or are licensed to us or one of our affiliates.

We are the owners of the Myko trademarks and word marks.

Except as expressly set out in these Terms of Use, nothing in these Terms of Use shall give you any rights in respect of any intellectual property owned by us, our affiliates or our licensors. You must not assert or attempt to obtain any such rights.

You acknowledge our (and our affiliates') rights to the Material. Save as provided elsewhere in these Terms of Use, you must not use, copy, reproduce, modify, manipulate, transmit, distribute, perform, publish, display, participate in the transfer or sale of, license or create derivative works from, or in any way exploit, Material accessed through our Myko Microsite and Myko App. Where copying or transmission is expressly permitted, you must display an appropriate author attribution or copyright notice. You may use, and download and print extracts from, our Myko Microsite and Myko App for your own personal use only to the extent necessary to utilise our Myko Microsite and Myko App and the services offered through them. No right, title or interest in any downloaded Material is transferred to you. You may not make any other use of our Myko Microsite, Myko App or Material. Except as expressly set out in these Terms of Use, you are not allowed to copy (whether by printing onto paper, storing on disk or any other way), distribute (including distributing copies), tamper with or alter in any way or otherwise use any Material contained in our Myko Microsite and Myko App.

Except as expressly set out in these Terms of Use, you are not allowed to copy or use any Material on our Myko Microsite and Myko App for any commercial purpose.

You are not allowed to remove any copyright, trade mark or other intellectual property notices or watermark contained in the original Material or from any Material copied or printed from our Myko Microsite and Myko App.

The rights granted to you under these Terms of Use shall terminate immediately upon your breach of any of these Terms of Use, and you must (at our option) return or destroy any copies of the Materials you have made.

Our Myko Microsite and Myko App may also contain certain of our (or an affiliated company's) trade marks (whether granted or applied for), graphics, logos and service names (collectively, Devices). The Devices are owned exclusively by us or the affiliated company and may not be copied or reproduced in any format (save as expressly provided elsewhere in these Terms of Use), or used in connection with any product or service without our prior written consent. All other trade marks not owned by us or our affiliated companies that appear on our Myko Microsite and Myko App are the property of their respective owners, who may not be affiliated with, connected to, or sponsored by us or our affiliated companies and you must not use those trade marks without the permission of the respective owners.

Accuracy of information

Our Myko Microsite and Myko App are updated regularly, so content and functionality may change without notice. Where we release a new version of the Myko App, unless we inform you otherwise, You will have the choice to either stay on your then-current version of the Myko App running on your device, or to update the Myko App on your device to the new version. We will only make a new version of the Myko App mandatory where absolutely necessary (e.g. to resolve a security issue). If you choose not to update to the new version of the Myko App, please be aware that some functionality within the Myko App may not operate as intended.

We are under no obligation to keep the Material up to date, and you acknowledge that it may be out of date at any given time. Material on our Myko Microsite and Myko App is not intended to amount to advice or authority on which reliance should be placed. We make no promise and give no assurance that any information is accurate, complete or up to date. To the extent permitted by law, we accept no liability or responsibility for any loss, damage or injury arising as a consequence of any reliance placed upon the Material, whether by a user of our Myko Microsite and Myko App or by anyone who may be informed of their contents, while this restriction does not apply to Users who are consumers with their habitual residence in Poland.

The Material should not be relied upon as advice or as the sole source of information on how to complete use a connected product. Before using a connected product, you should read and follow all manufacturers' and safety instructions relating to the equipment, products or task you are about to use or carry out. If you are in any doubt, please stop and seek advice from a professional.

On screen video guides and how to manuals

Without limiting the provisions of the section entitled Accuracy of information, the Myko App and Myko Microsite may from time to time contain film video guides, how to manuals and other guides (collectively, Guides) that are provided for general information and background purposes only. The Guides should not be relied upon as advice or as the sole source of information on how to complete a task.

Links to and from our Myko Microsite and Myko App

We are a member of the Kingfisher Group of companies; for more information on the Kingfisher Group please visit: www.kingfisher.com. We may from time to time establish links to the websites of other Kingfisher Group companies through our Myko Microsite and Myko App. Your use of those websites is subject to the terms of use and policies available on those websites.

From time to time we may also establish relationships with third parties that will enable you to access the websites of such third parties directly through our Myko Microsite and Myko App. Where our Myko Microsite and Myko App contain links to other websites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those websites or resources, and accept no responsibility or liability for them or for any loss or damage that may arise from your use of them. The inclusion of these hyperlinks does not imply any endorsement of the material on such sites or any association with their operators.

You may not link from another internet site to any page on or part of our Myko Microsite and Myko App without our prior written consent and after entering into such agreement as we may require. We are not responsible for external websites that link to our Myko Microsite and Myko App.

Liability

If you are acting as a consumer

If you are acting as a consumer (as determined by applicable law) in your use of our Myko Microsite and Myko App, to the extent not prohibited by law, with the exception of Users who are consumers with their habitual residence in Poland, we accept no liability for any:

loss which is not foreseeable (loss is foreseeable if it was an obvious consequence of our breach or if it was contemplated by you and us at the time you started to use our Myko Microsite and Myko App);
loss which arises when we are not at fault or in breach of these Terms of Use.

If you are acting as a consumer, you may have certain legal rights regarding claims in respect of losses caused by our negligence or failure to carry out our obligations.

Nothing in these Terms of Use is intended to limit your legal rights as a consumer.

If you are a business user

If you are acting in the course of a business, trade or profession in your use of our Myko Microsite and Myko App (a business user), we accept no liability (whether arising in tort (including negligence), contract, for breach of statutory duty or otherwise) and offer no promises or assurances in relation to our Myko Microsite and Myko App or their content (including the Material), to the fullest extent such liability, promises and assurances can be excluded by law, and to the fullest extent permitted by law, all promises, assurances and other terms implied by law are excluded. For the avoidance of doubt, we shall have no liability to compensate you in relation to your use of our Myko Microsite and Myko App or their content (whether arising in tort (including negligence), contract, for breach of statutory duty or otherwise), except for any refund we make under any other agreement between us or otherwise at our discretion.

If you are acting as a business user in your use of our Myko Microsite and Myko App, without prejudice to the preceding paragraph, we accept no liability (whether arising in tort (including negligence), contract, for breach of statutory duty or otherwise) for any of the following losses:

loss of data, loss of revenue, sales, income or profits, loss of business, loss of opportunity, loss of use or production, business interruption, loss of contracts, goodwill or reputation (in each case whether direct or indirect); or
any indirect or consequential loss.

If you are acting as a business user in your use of our Myko Microsite and Myko App, you will indemnify us from and against all actions, claims, suits, demands, liabilities, losses, costs and expenses arising out of, or in any way connected with, use of our Myko Microsite and Myko App by you or any other person using your login information.

Liability provisions that apply whether you act as a consumer or business user

We will not be liable to you where performance of any of our obligations is prevented or restricted by any circumstance or cause beyond our reasonable control. We will not be liable for non-performance or improper performance of Services, if such performance or proper performance has become impossible or difficult – directly or indirectly – as a result of force majeure circumstances, to which the we include any events external to us, in particular: (i) violence, including: war, civil war, revolutions, riots, acts of sabotage and acts of terrorism; (ii) strikes, blockades; (iii) acts of natural forces such as natural disasters, severe storms, hurricanes, earthquakes, floods, lightning, prolonged heavy rainfall; (iv) epidemics, pandemics and any restrictions related to public health threats; (v) acts of state authority and international bodies, including states of emergency.

Nothing in these Terms of Use excludes or limits our liability for (i) death or personal injury caused by our negligence, (ii) fraud or fraudulent misrepresentation, and (iii) any other liability that cannot be excluded or limited under applicable law.

Any formal legal notices should be sent to us at the postal address specified in the Introduction section of these Terms of Use, marked for the attention of the Legal Team.

Complaints

You have the right to lodge a complaint in respect of these Services. A complaint may be lodged to us by traditional mail, e-mail ([email protected]) or via the “Contact us” section in the app.

Such complaint should include at least your name, email address, and a detailed description of any objection in respect of the Services. We may ask You for additional information to allow us to identify Yourself.

If the information given by You is not sufficient or we require more details to respond to your complaint, we will request you to provide such additional information. The date of receiving such additional information needed to respond to your complaint shall be deemed as the date on which such complaint was effectively lodged.

Complaints shall be responded to within 14 days from the date of their effective receipt.

Other important terms

Failure by us to enforce a right does not result in waiver of such right.

Each of the provisions of these Terms of Use operates separately. If any provision (or part of any provision) (including any terms in which we exclude or limit our liability to you) is found to be invalid, illegal or unenforceable: (i) that provision (or part-provision) will, to the extent required, be excluded from forming part of these Terms of Use; and (ii) the remaining provisions will be unaffected and will remain in full force and effect.

You may not assign or transfer your rights or obligations under these Terms of Use. With the exception of Users who are consumers with habitual residence in Poland, to the extent permitted by law, we may transfer our rights and obligations under these terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.

Except as expressly stated, a person who is not a party to these Terms of Use shall not have any rights under or in connection with these Terms of Use.

Subject to the following paragraph, you and we agree that these Terms of Use are governed by the law of England and that any dispute between you and us arising out of or in connection with these Terms of Use (including non-contractual disputes or claims) will only be dealt with by the courts of England and Wales.

Regardless of the above paragraph, you and we agree that if:

you are a consumer (as determined in accordance with applicable law) resident in a part of the United Kingdom other than England and Wales, the law of that part of the United Kingdom will apply to these Terms of Use and any dispute between you and us arising out of or in connection with these Terms of Use (including non-contractual disputes or claims) will be dealt with by the courts located there;
you are a consumer (as determined in accordance with applicable law) resident in Éire, Irish law applies to these Terms of Use and any dispute between you and us arising out of or in connection with these Terms of Use (including non-contractual disputes or claims) will be dealt with by the Irish courts;
you are a consumer (as determined in accordance with applicable law) resident in Jersey, Jersey law applies to these Terms of Use and any dispute between you and us arising out of or in connection with these Terms of Use (including non-contractual disputes or claims) will be dealt with by the Jersey courts;
you are a consumer (as determined in accordance with applicable law) resident in Guernsey, Guernsey law applies to these Terms of Use and any dispute between you and us arising out of or in connection with these Terms of Use (including non-contractual disputes or claims) will be dealt with by the Guernsey courts, provided that, where we are allowed to do so by law, we may bring a claim against you in the English courts;
you are a consumer (as determined in accordance with applicable law) resident in France, French law applies to these Terms of Use and any dispute between you and us arising out of or in connection with these Terms of Use (including non-contractual disputes or claims) will be dealt with by the French courts (which does not preclude the consumer from asserting his rights before other courts, if such courts would have jurisdiction under applicable law). If you are a consumer resident within the EU, The European Commission provides an online dispute resolution platform which you can access here: https://ec.europa.eu/consumers/odr/; and
you are a consumer (as determined in accordance with applicable law) resident in Spain, Spanish law applies to these Terms of Use and any dispute between you and us arising out of or in connection with these Terms of Use (including non-contractual disputes or claims) will be dealt with by the Spanish courts (which does not preclude the consumer from asserting his rights before other courts, if such courts would have jurisdiction under applicable law). you are a consumer (as determined in accordance with applicable law) resident in Portugal, Portuguese law applies to these Terms of Use and any dispute between you and us arising out of or in connection with these Terms of Use (including non-contractual disputes or claims) will be dealt with by the Portuguese courts (which does not preclude the consumer from asserting his rights before other courts, if such courts would have jurisdiction under applicable law). you are a consumer (as determined in accordance with applicable law) resident in Romania, Romanian laws applies to these Terms of Use and any dispute between you and us arising out of or in connection with these Terms of Use (including non-contractual disputes or claims) may be dealt with by the Romanian courts (which does not preclude the consumer from asserting his rights before other courts, if such courts would have jurisdiction under applicable law). If you are a consumer resident within the EU, the European Commission provides an online dispute resolution platform which you can access here: https://ec.europa.eu/consumers/odr/; and
you are a consumer (as determined in accordance with applicable law) resident in Poland, Polish law applies to these Terms of Use and any dispute between you and us arising out of or in connection with these Terms of Use (including non-contractual disputes or claims) will be dealt with by the Polish courts (which does not preclude the consumer from asserting his rights before other courts, if such courts would have jurisdiction under applicable law). If you are a consumer resident within the EU, the European Commission provides an online dispute resolution platform which you can access here: https://ec.europa.eu/consumers/odr/. Where these Terms of Use are governed by Polish law, the limitations of liability set out under the “If you are a business user” heading above will not apply if You are a sole trader using the Myko App or Myko Microsite outside of your professional duties or activity as indicated in the relevant entry to the Central Registry and Information about Business Activities.

You are entitled to terminate your use of the Services and delete your account at any time. With the deletion of your Account, you lose access to all resources connected to it. With the deletion of your account, the contract is terminated.

SECTION B: MYKO MICROSITE ADDITIONAL TERMS OF USE

The following additional Terms of Use apply to your use of the Myko Microsite.

The Myko Microsite is an informational site for Myko - a landing page available which enables the user to learn what Myko is, how to download the app, FAQs as well as information on how to manage user account (i.e. change password etc).

Disputes & Refunds

You will not able to make any purchases via the Myko App or the Myko Microsite.

Your purchase of any connected products which you use in conjunction with the Myko App will be governed by the relevant terms of sale made available by us, our affiliates or third party sellers (as applicable) at the time your purchase the products. All refunds relevant to such connected products shall be handled in accordance with those terms of sale.

If you have a dispute in respect of any connected products, please refer to the relevant terms of sale applicable to the product(s) in question.

SECTION C: MYKO APP ADDITIONAL TERMS OF USE

The following additional Terms of Use apply to your use of the Myko App where you download the Myko App through the Apple App Store.

By downloading the Myko App from the Apple App Store, you acknowledge and agree that: (i) as between us and Apple, we, and not Apple or the Apple App Store, are responsible for the Myko App; (ii) the Apple App Store has no obligation to provide any maintenance or support for the Myko App; (iii) in the event of any failure of the Myko App to conform to any applicable warranty (if any), you may notify the Apple App Store of such failure; upon notification, Apple's sole warranty obligation to you will be to refund to you the purchase price, if any, of the Myko App; (iv) the Apple App Store is not responsible for addressing any claims you have or any claims of any third party relating to the Myko App or your possession and use of the Myko App, including, without limitation product liability claims, any claim that the Myko App fails to conform to any applicable legal or regulatory requirement, or claims arising under consumer protection or similar legislation; (v) in the event of any third party claim that the Myko App or your possession or use of the Myko App infringes that third party's intellectual property rights, as between us and Apple, we, not Apple, reserve the right to investigate, defend, settle and discharge any such intellectual property infringement claim to the extent required by the Terms of Use; (vi) to the extent related to your licence to use the Myko App and upon your acceptance of these Terms of Use, Apple will have the right to enforce these Terms of Use (as related to your licence to use the Myko App) against you as third party beneficiary thereof (vii) you represent and warrant that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a terrorist-supporting country, and you are not listed on any U.S. Government list of prohibited or restricted parties; and (viii) you must also comply with all applicable third-party terms of service or similar agreement when using the Myko App.

Certain aspects of the Myko App (and its use with connected products) may be subject to the laws and regulations of the United States and/or other governments controlling the export and re-export of computer software and services and, accordingly, prohibited from being: (a) provided to, purchased by, routed through, or used for the direct benefit of any party subject to restriction under relevant sanctions or export denial lists; (b) provided to, purchased by, routed through, or used for the direct benefit of any embargoed territory, or certain nationals or entities under the laws thereof; and/or (c) used for nuclear, chemical, biological weapons proliferation or military and/or military-intelligence purposes ("Prohibited Purposes"). You agree that we, or any third party acting on our behalf, will be entitled to (but has no obligation to) suspend or prevent the usage of the Myko App and/or connected products in any embargoed territories and/or by any parties, nationals and/or entities referred to in clauses (a) and (b) and/or in relation to any Prohibited Purposes without liability to you. You will not use IP proxying or other methods to circumvent geographical restrictions on the use of the Myko App or connected products.

To the maximum extent permitted by law, you agree that the Myko App and associated Services are provided “as is” and without warranty of any kind. Without limiting the foregoing, with the exception of Users who are consumers with their habitual residence in Poland, we explicitly disclaim any implied warranties of satisfactory quality, fitness for a particular purpose, quiet enjoyment and non-infringement, and any warranties arising out of course of dealing or usage of trade and makes no warranty that the Myko App or associated Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis.
